ATGenius Subscription Terms Acknowledgment

By requesting payment of this invoice and/or using the ATGenius system, the Subscriber acknowledges and agrees to the following terms:

1. Payment Terms

Subscription fees are due on or before the invoice due date. Failure to remit payment by the due date may result in suspension of access to the ATGenius system until all outstanding amounts have been paid in full. Suspension of access does not relieve the Subscriber of its obligation to pay any amounts due.

2. Subscription Access and Data

The annual subscription fee includes access to the ATGenius platform during the active subscription period.

If the Subscriber elects not to renew or otherwise terminates its subscription, continued access to records is not included. At the Subscriber's request, ATGenius may provide either:

• Read-only access to the Subscriber's records for an annual archival access fee; or

• A data export of the Subscriber's records for an applicable data export fee.

The fees for archival access or data export shall be those in effect at the time of the request.

3. Administrative, Onboarding, and Compliance Fees

An Administrative Fee may apply if the Subscriber requires any of the following:

• Modifications to this Agreement, a Business Associate Agreement (BAA), or other contractual documents;

• Review of Subscriber-provided terms and conditions by ATGenius or its legal counsel;

• Participation in a vendor approval or onboarding process;

• Completion of security, privacy, compliance, or similar questionnaires or assessments;

• Live training, implementation assistance, or comparable services.

4. Subscriber Disclosure

Prior to requesting an invoice, quotation, purchase order, or contract, the Subscriber agrees to disclose whether any of the requirements described above, or any substantially similar requirements, will be part of its purchasing process.

5. Adjustment of Pricing

If, after issuance of a quotation, invoice, purchase order, or contract, ATGenius determines that one or more of the requirements described above were not previously disclosed, ATGenius reserves the right to:

• Revise the quoted or invoiced pricing;

• Issue a separate invoice for applicable Administrative Fees; or

• Withdraw or cancel the previously quoted pricing until revised terms are accepted.

These provisions also apply to subscription renewals.

6. Customization Requests

Standard subscription pricing includes only the functionality of the ATGenius platform as generally offered to subscribers.

Requests for custom features, reports, integrations, workflows, or other modifications are not included in the subscription price and are subject to review and approval at ATGenius' sole discretion.

Approved customization work will be billed at $150 per hour for analysis, development, testing, and implementation. ATGenius may decline any customization request that is not technically feasible, is inconsistent with system architecture, presents security or maintenance concerns, or is not appropriate for the platform.

Approval of a customization request does not guarantee implementation. Any approved customization project will require a separate written agreement defining the scope of work, estimated fees, timeline, and other applicable terms before work begins.

7. Acknowledgment

By submitting payment or using the ATGenius platform, the Subscriber acknowledges that it has read, understands, and agrees to these Subscription Terms, including any applicable Administrative Fees, Customization Fees, payment obligations, and data access provisions.
