Fee Triggering Events. An administrative and processing fee (“Administrative Fee”) shall apply if the Subscriber requires (i) any modification to this Agreement, a Business Associate Agreement, or any other contractual terms; (ii) the review of any Subscriber-provided terms and conditions by ATGenius or its legal counsel; (iii) participation in any vendor approval or onboarding process; (iv) completion of any security, privacy, or compliance assessment; or (v) the provision of any live training or similar services.
Disclosure Obligation. The Subscriber shall disclose, prior to requesting any invoice, price quote, or contract, whether any of the items described in Section (a), or any substantially similar requirements, will be necessary as part of the purchasing process. The Administrative Fee may also be assessed in connection with any subscription renewal.
Adjustment of Pricing. ATGenius reserves the right to modify or cancel any invoice, price quote, or contract price if, after issuance, it becomes apparent that one or more of the items described in Section (a) are required. ATGenius may issue a separate invoice for the Administrative Fee as indicated.
Customizations are not included in standard subscription pricing. Requests for custom system features, modifications, or functionality outside of the standard product offering (“Customization Requests”) are subject to review and approval at our sole discretion. Approved Customization Requests will be billed at a rate of $150 per hour for coding, testing, and implementation. We reserve the right to deny any Customization Request that is not technically feasible, is inconsistent with the system architecture, or is not broadly applicable to all subscribers. Approval of a Customization Request does not guarantee implementation. If a Customization Request is approved, execution will require a separate written agreement outlining the scope, fees, timelines and other applicable terms prior to the commencement of work.
